The small business CGT concessions continue to be an area where practitioners experience difficulty in correctly applying the rules. The amendments introduced in Treasury Laws Amendment (Tax Integrity and Other Measures) Act 2018 and the Federal Court decision in FCT v Eichmann [2019] FCA 2155 (which has been overturned on appeal by the Full Federal Court in Eichmann v Commissioner of Taxation [2020] FCAFC 155) have only added to the confusion and frustration experienced by advisers. This session examines those areas likely to trip you up and prevent your clients qualifying for the concessions:

  • Overview of the integrity measures and their impact on sales of shares or units
  • Practically applying the ‘’new” active asset test to sales of shares or units
  • Structuring tips to preserve access to the concessions
  • Case studies examining the application of the small business CGT concessions where trusts and company structures are involved
  • Revisiting the $6m net asset value test and the concept of “market value” following the AAT decision in Miley and FCT [2019] AATA 5540
  • Examining recent thinking concerning what is an active asset and a business including the Eichmann case

Dung Lam currently holds the position of Special Counsel within Coleman Greig's Taxation Advice team, having joined the firm as part of the 2019 integration with Argyle Lawyers.

With extensive experience in Federal taxes including income tax, capital gains tax, GST and State taxes such as stamp duty, land tax and payroll tax, solving complex tax issues comes naturally to Dung.

She also advises clients on self-managed superannuation funds, taxation trusts and tax issues related to estate planning. Her clients include corporates, families and their advisors and high net worth individuals.

Dung creates tax effective strategies for clients who wish to undertake acquisitions, disposals of assets and businesses, business restructures, domestic and international business expansions and succession planning.

Dung is a Chartered Tax Adviser, Accredited Specialist in Personal and Business Taxation with the NSW Law Society and full Trust and Estate Practitioner of the Society of Trust and Estate Practitioners (STEP).
