25th July 2018

Duration:  approx. 1 hour

 ABOUT THE WEBINAR
After a raft of recent high-profile cases, it seems the duties placed on directors are becoming broader and more onerous.  This session looks at the scope of duties of directors of charities and Not for Profits and what they need to do to properly discharge their obligations. It considers the recent cases in a practical way and explores how the sector should adapt in response. It covers:

  • Directors’ due diligence - the questions you should ask before becoming a director
  • Directors’ duties and obligations - what is best practice?
  • Issues facing directors - related party transactions and conflicts of interest
  • Breach of directors’ duties - penalties and defences
  • Rise of ‘stepping stone liability’
  • Lessons from recent cases:
    • RSL LifeCare
    • State Street Australia Ltd in its capacity as Custodian for Retail Employees Superannuation Pty Ltd (Trustee) v Retirement Villages Group Management Pty Ltd
    • ASIC v Flugge & Geary
