Recorded Webinar: GST-Free Going Concerns and Property Development

Thursday 16th June 2016

Duration: approx 2 hours

About the webinar

When will a property development be a going concern? This presentation focuses on the issues that trip people up in practice, including:

  • Criteria for the GST exemption for sale of a going concern
  • What is a supply of a going concern?
    • when is a property development an enterprise for the purposes of GST?
    • supplier carries on enterprise until date of supply
    • supply of all things necessary for continued operation of enterprise
  • Common issues:
    • is a development approval enough to establish a going concern?
    • how are partially-completed developments treated?
    • is the sale of property that is leased the supply of a leasing enterprise?
    • what happens if a development can’t be leased?
    • what about a property that can’t be sold so is leased instead?
  • Lessons from recent cases:
    • South Steyne Hotel Pty Ltd
    • MBI Properties Pty Ltd
  • Questions to consider:
    • what is actually being bought/sold?
    • how would GST apply to the transactions but for the going concern exemption?
  • Ensuring that the contract deals with potential problems if the intended GST outcome does not eventuate
