RECORDED WEBINAR: Migrating a Charity from an Incorporated Association to a Company Limited by Guarantee

There are sometimes compelling commercial and legal reasons for a charity to change its corporate structure. There is a pathway in the State legislation and in the Corporations Act for an incorporated association to morph into a company limited by guarantee. This presentation identifies the reasons for the change and discusses how to effect that change:
  • Why change – government requirements, interstate operations, other
  • What is the process:
    • approval from the office of Fair Trading
    • contact material contract holders
    • necessary notices and resolutions
    • preparing a new constitution
    • keeping your ABN
    • keeping your ITE and DGR status
  • What is the effect?:
    • change of entity or the same but differently regulated
    • position of employees – is there a transmission of business?

Andrew Lind was admitted as a Solicitor of the Supreme Court of Queensland and The High Court of Australia in 1990.
 
He has worked in a top tier national law firm and then as a partner of a medium sized CBD firm (acting for private enterprise, not for profits and Government owned corporations).
 
Andrew has served on many not-for-profit boards and church leadership teams (including as a lead pastor of local church). He currently serves as a director of Emmanuel Education Ltd (Emmanuel College) Gold Coast.
